These Terms of Service ("Terms") govern your use of vigiams.com, beta.vigiams.com, the VigiAMS Android app, and the VigiAMS API ("the Service") provided by Radhakripa Medtech Pvt Ltd ("we", "us", "VigiAMS").
By using the Service you agree to these Terms and to our Privacy Notice. If you are using the Service on behalf of a hospital, the hospital's Data Processing Agreement (DPA) with VigiAMS supplements these Terms — where the two conflict, the DPA governs the patient-PHI portion.
1. Eligibility + accounts
- The Service is provided to clinical staff at registered Indian healthcare facilities
- You must be at least 18 years old to hold an account
- You must keep your credentials confidential — sharing accounts is prohibited and a violation of audit obligations
- You are responsible for all activity under your account
2. Acceptable use
You may not:
- Upload data you do not have lawful authority to process
- Bypass authentication, rate limits, or security controls
- Reverse-engineer, decompile, or scrape the Service
- Use the Service to harass, defame, or harm another person
- Use the Service for any purpose other than antimicrobial stewardship, surveillance, and approved clinical workflows
- Re-identify de-identified statistics or attempt to link aggregated data back to individuals
3. Hospital responsibilities
If you represent a hospital using the Service:
- You are the primary Data Fiduciary for patient data you upload
- You must obtain lawful consent or establish another DPDP §6 basis before uploading personal data
- You must designate authorized users + revoke access promptly when staff leave
- You must train your staff on the Service + on PHI handling
- You must report any suspected breach to us within 24 hours
4. Service availability
We provide the Service on a commercially reasonable effort basis. The beta tier targets 99.5% monthly uptime; planned maintenance is announced 48 hours in advance. We do not guarantee uninterrupted service — clinical decisions must always have a manual fallback.
5. Clinical disclaimer
VigiAMS is a clinical decision-support and surveillance tool, not a substitute for professional medical judgement. Antibiogram interpretations, MIC predictions, and prescribing suggestions are advisory. The treating clinician retains full responsibility for patient care decisions.
6. Intellectual property
VigiAMS retains all rights to the platform, its source code, the curated master data (organism, drug, intrinsic-resistance lists), and aggregated de-identified outputs. Hospital-uploaded data remains owned by the hospital (or the patient under DPDP).
7. Fees + termination
Fee structure is set out in your hospital's commercial agreement with us. Either party may terminate for material breach with 30 days written notice. On termination:
- You retain access for 30 days to export data
- After 30 days, hospital data is deleted except for audit records retained per the Privacy Notice
- De-identified statistics already aggregated are not deleted
8. Liability
To the extent permitted by law, our aggregate liability for any claim arising from the Service is capped at the fees you have paid us in the preceding 12 months. We are not liable for indirect or consequential loss. This cap does not limit liability for fraud, gross negligence, or breaches of the Data Processing Agreement.
9. Governing law + jurisdiction
These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
10. Changes
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email + an in-app banner.
